JOB DESCRIPTION:
As a member of the team supporting Company Secretary services to clients, you are joining a vital professional services function for our clients in which you can advance your career within the funds industry, diversify your relationship management skill set, and build expertise in corporate secretarial functions supporting private equity, private debt and real estate corporate entities. You will act as a main liaison and point of contact for all company secretarial functions.
YOUR RESPONSIBILITIES WILL INCLUDE:
- Supporting the Legal and Corporate teams in day-to-day tasks
- Assisting clients in the day-to-day management of investment funds (regulated or non-regulated) and building and maintaining a strong relationship with them
- Participating in the client’s Board of Directors’/Investment Committees’/Advisory Boards’ meetings as CoSec
- Preparing all relevant legal and corporate documents in relation to the client, such as supporting documents for the Boards’ and
- Shareholders’ meetings, taking minutes of these meetings, preparing the written resolutions of different investment funds and ensuring the high quality of such legal and corporate documents
- Organizing of our clients Boards’ meetings and Shareholders’ meetings (preparation of convening notices, proxies, Board packs, minutes, etc.)
- Keeping the clients’ files in legal good standing and assistance in necessary legal filings (RCS, UBO etc.)
- Taking part in developing restructuring plans or other transactions in compliance with recommendations of the local regulatory body, including spin – offs, mergers, acquisitions and liquidations
- Actively impact the preparation of legal documents for our clients (analysis of legal documents, regulations, procedures…)
- Actively participating in the life of a cross-departmental and dynamic team
YOUR PROFILE:
- Fluent English and German skills
- Relevant professional qualification or be working towards one would be an asset but not a requirement;
- One year or more of company secretarial experience a plus;
- Prior Diligent Board experience would be a plus;
- Enthusiastic attitude, drive and willingness to learn;
- Ability to build strong client relationships and to take initiative to act without waiting for direction when appropriate;
- Organised with an eye for detail Possess a flexible and hands-on approach;
- Demonstrated experience with ability to prioritise and handle multiple projects simultaneously is essential;
- Demonstrated communication skills and you are able to deal with people at all levels.
