As the Head of Legal & Compliance, you will play a strategic and hands-on role in guiding the company through its next phase of growth. You will lead the legal and compliance function across all jurisdictions, partnering closely with executive leadership on complex initiatives including M&A activity, investment rounds, and the development of our product expansion plans. This role is pivotal in ensuring the legal infrastructure evolves in line with the company’s ambitions—balancing agility with governance across multiple geographies and business verticals.
From an operational perspective, your role will focus on establishing a clear compliance framework at the group level and overseeing the Compliance functions of our regulated entities. This includes direct responsibility for two team members under our central administration license: the Conducting Officer and RR of the PFS, and the Compliance Officer and RC of the PFS —as well as any other employees who may become part of this team.
This role is based in Luxembourg and reports directly to the VP Finance.
Key responsibilities:
Strategic Legal Leadership
- Act as a trusted advisor to the executive leadership team on all legal, compliance and regulatory aspects of the group’s strategic decisions - including holdco and the regulated companies. This role goes beyond the Luxembourg jurisdiction.
- Lead the legal dimension of investment rounds (equity, debt or hybrid), mergers and acquisitions, and joint ventures. Support and contribute on legal, compliance and regulatory matters with respect to all growth initiatives of fundcraft group.
- Oversee corporate legal structuring and regulatory strategy for expansion into new geographies and investment in other product lines.
- Shape the legal framework for the expansion of fundcraft’s product to new markets and new asset classes.
Transactions & Investment Lifecycle
- Draft, negotiate, and review complex and key commercial agreements, shareholder agreements, and transactional documentation.
- Project management to efficiently run legal due diligence processes, deal terms negotiations, and post-transaction integration.
- Support investor relations on legal matters related to fundraising and capital deployment, and stakeholder reporting.
- Define KPI or deal objectives and monitors progress
- implement or change corporate governance structures
Governance, Risk and Compliance
- Develop and maintain a robust group-wide legal governance model, overseeing the activity of the compliance function of the CSSF supervised entities of the group (i.e. a specialised PFS and an authorised AIFM).
- Implement and/or update a group-wide compliance framework (including compliance program and group/PFS/AIFM policies).
- Identify legal and compliance risks and develop mitigation strategies while supporting the company's entrepreneurial approach.
- Ensure compliance with CSSF requirements as well as relevant laws and regulatory obligations across all operating jurisdictions.
- Manage relationships with external stakeholders to ensure efficient and effective product delivery.
Cross-Functional Collaboration
- Collaborate closely with key functions (Sales & Marketing, Product Delivery and Product Development) to embed legal considerations into product and platform development.
- Drive knowledge-sharing and training initiatives across the business on key legal topics.
- Safeguards overall robustness and resilience of our operating model and collaborates with internal and external audit functions
Requirements
Qualifications & Experience:
- Qualified lawyer with 10+ years of experience, preferably with a mix of top-tier law firm and in-house legal leadership experience.
- Proven track record in handling fundraising rounds, M&A transactions and cross-border legal strategy.
- Deep understanding of Luxembourg and European fund regulatory landscape.
- Strategic mindset with the ability to balance legal risk with business pragmatism.
- Experience managing cross collaborative projects and working in fast-paced, entrepreneurial, and growth-stage environments.
- Fluent in English and French; additional European languages are a plus.
